利用規約

第1条（適用）

本規約は、ファイル送達サービス「TrueSend」（以下「本サービス」）の利用条件を定め、登録利用者、送信者、受取人その他本サービスを利用するすべての方に適用されます。

These Terms govern the TrueSend file-delivery service and apply to registered members, senders, recipients and all other users of the service.

第2条（本規約への同意）

登録利用者は、TrueSend所定の方法で本規約に同意して利用登録を申し込みます。受取人その他の方は、本規約およびプライバシーポリシーを確認したうえで、本サービスを利用するものとします。本規約に同意しない場合は、本サービスを利用できません。

Registered members accept these Terms when applying for an account. Recipients and other users must review these Terms and the Privacy Policy before using the service. Do not use TrueSend if you do not agree to these Terms.

第3条（アカウントの管理）

利用者は、自己のメールアドレス、ログインリンク、パスキー、認証コード、リカバリーコードその他の認証情報を自己の責任において管理するものとし、第三者に利用させてはなりません。

Users are responsible for protecting their email addresses, login links, passkeys, authentication codes, recovery codes, and other access credentials, and must not allow unauthorized use.

第4条（送信者の責任）

送信者は、ファイル、宛先メールアドレスおよび送信者からのメッセージを本サービスに提供し、受取人に送信するための適法な権限を有するものとします。送信者は、本サービスから取得した送達記録および受取人に関する情報を、適法な目的に限って使用し、不当に第三者へ開示してはなりません。

Senders must have lawful authority to provide and send each file, recipient email address and sender message. Senders may use delivery records and recipient information obtained through TrueSend only for lawful purposes and must not improperly disclose them.

第5条（受取人によるアクセス）

受取人は、自らが正当な受取人として指定されたファイルに限りアクセスできます。受取人は、共有リンクへアクセスするたびに、自動アクセス対策の安全確認およびメール認証を求められる場合があります。共有リンクおよびアクセスリンクを第三者に不正に利用させてはなりません。

Recipients may access only files for which they are an authorized recipient. TrueSend may require an anti-automation security check and email verification on each access. Recipients must not permit unauthorized use of share or access links.

第6条（アクセス記録）

TrueSendは、プライバシーポリシーに従い、メールアドレス、IPアドレス、IPアドレスから推定した地域、ブラウザおよび端末に関する情報、アクセス日時、メールの配送状況、メール認証、アクセスリンクの使用ならびにダウンロード状況を記録します。TrueSendは、これらの情報を送信者の管理画面、通知、送達記録または送達証明書を通じて送信者に提供する場合があります。

As described in the Privacy Policy, TrueSend records email addresses, IP addresses, approximate IP-derived location, browser and device information, access times, email delivery status, email verification, access-link use and download activity. TrueSend may provide this information to the sender through the sender dashboard, notifications, delivery records or delivery certificates.

第7条（共有期間および削除）

共有リンクおよびアップロードされたファイルは、原則として作成から1年間利用できます。送信者による削除もしくは共有停止、契約終了、保存期間の経過、法令上またはセキュリティ上の必要その他合理的な理由により、それ以前に利用できなくなる場合があります。

Share links and uploaded files are generally available for one year. They may become unavailable sooner because of sender deletion or revocation, contract termination, expiry, legal or security requirements, or other reasonable grounds.

第8条（利用料金および解約）

登録利用者は、TrueSendが定める年額利用料金を、TrueSendの請求に基づき支払うものとします。登録利用者は、次回更新日の前にTrueSend所定の方法で連絡することにより、契約の更新を停止できます。法令に別段の定めがある場合を除き、既払いの料金は返金しません。

Registered members must pay the applicable annual fee. A member may stop renewal by contacting TrueSend before the next renewal date. Fees already paid are non-refundable except where required by law.

第9条（禁止事項）

利用者は、法令に違反する行為、第三者の権利を侵害する行為、不正アクセス、共有リンクまたは受取人情報の不正利用、有害なファイルの送信、本サービスの運営を妨げる行為その他TrueSendが合理的に不適切と判断する行為を行ってはなりません。

Users must not violate law or third-party rights, gain unauthorized access, misuse share links or recipient information, transmit harmful files, interfere with the service, or engage in other conduct TrueSend reasonably considers improper.

第10条（無保証、暗号化キーおよび責任制限）

TrueSendは、本サービスを現状有姿で提供します。法令上認められる範囲で、TrueSendは、本サービスの中断のない提供、可用性、正確性、完全性、安全性、特定目的への適合性、エラー・障害・不正アクセス・データの消失もしくは破損が生じないことを、明示または黙示を問わず保証しません。

TrueSendは、メールもしくはリンク通知の送信、宛先メールサーバーもしくは受信箱への到達、ファイルのアップロード、保存、アクセス、送信、ダウンロード、完全性、復元もしくは一定期間の利用、または受取人による確認について保証しません。これらは、通信回線、メール事業者、第三者サービス、受取人の設定・容量・セキュリティ機能、利用者の端末その他TrueSendの合理的な支配を超える事情により、遅延、失敗または消失する場合があります。利用者は、原本および必要なバックアップを保持し、重要な送達については自ら確認し、必要に応じて代替手段を利用するものとします。

TrueSendに保存されるファイルはすべて暗号化されます。標準保護では、TrueSendが認証後の受け取りに必要な暗号化キーを暗号化して保持します。利用者がユーザー保管キーを選択した場合、TrueSendは暗号化キーを保存せず、暗号化キーの再発行、復元、リセットまたは暗号化されたファイルの復号を行うことができません。送信者および受取人は、暗号化キーを安全に保管し、正しい相手に共有する責任を負います。暗号化キーを紛失、破損または誤送信した場合、ファイルを恒久的に利用できなくなることがあります。

TrueSendの故意または重過失による場合その他法令により免責または責任制限が認められない場合を除き、TrueSendの本サービスに関する責任の総額は、当該利用者がTrueSendに支払った直近1年分の利用料金を上限とします。

TrueSend provides the service on an “as is” and “as available” basis. To the extent permitted by law, TrueSend makes no express or implied guarantee that the service will be uninterrupted, available, accurate, complete, secure, fit for a particular purpose, or free from errors, failures, unauthorized access, data loss or corruption.

TrueSend does not guarantee the sending or arrival of any email or link notification, acceptance by a destination mail server, inbox placement, or the successful upload, storage, access, transmission, download, integrity, recovery or continued availability of any file, or review by the recipient. These activities may be delayed, fail or be lost because of networks, email providers, third-party services, recipient settings, capacity or security controls, user devices, or other circumstances beyond TrueSend’s reasonable control. Users must retain originals and necessary backups, independently confirm important deliveries, and use an alternative method where appropriate.

Every file stored by TrueSend is encrypted. With standard protection, TrueSend retains an encrypted copy of the key needed for delivery after authentication. If a user selects a user-held key, TrueSend does not retain the key and cannot reissue, recover or reset it or decrypt the encrypted file. Senders and recipients are responsible for safeguarding the key and sharing it with the correct person. A lost, damaged or misdirected key may make the file permanently inaccessible.

Except for intentional misconduct or gross negligence, or where exclusion or limitation is not permitted by law, TrueSend’s aggregate liability relating to the service is limited to the fees paid by the applicable user for the preceding year.

第11条（規約の変更）

TrueSendは、法令に従い、変更の内容および効力発生日を本サービス上で周知することにより本規約を変更できるものとします。変更後の規約は、周知した効力発生日から適用されます。

TrueSend may amend these Terms in accordance with law by announcing the amendment and its effective date through the service. Amended Terms apply from the announced effective date.

第12条（準拠法・管轄裁判所）

本規約は日本法に準拠します。本サービスに関して紛争が生じた場合、法令に別段の定めがある場合を除き、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

These Terms are governed by Japanese law. Except where applicable law provides otherwise, the Tokyo District Court has exclusive jurisdiction as the court of first instance.
